Agreement to Terms

Welcome to Electronic Transaction. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Electronic Transaction ("Company," "we," "us," or "our") regarding your access to and use of our website, payment processing services, and related applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all visitors, users, merchants, and others who access or use our Services.

You must be at least 18 years old and capable of forming a legally binding contract to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

Definitions

For purposes of these Terms:

  • "Account" means the registered account created by you to access our Services.
  • "Card Networks" means Visa, Mastercard, American Express, Discover, and other payment card networks.
  • "Chargeback" means a reversal of a payment transaction initiated by a cardholder or issuing bank.
  • "Customer" means an individual or entity that makes a payment to a Merchant through our Services.
  • "Merchant" means a business or individual that uses our Services to accept payments.
  • "Payment Method" means a credit card, debit card, bank account, or other payment instrument.
  • "PCI DSS" means the Payment Card Industry Data Security Standard.
  • "Processing Fees" means the fees charged by us for processing transactions.
  • "Refund" means a reversal of a payment transaction initiated by a Merchant.

Account Registration and Security

Registration

To use our Services, you must create an Account by providing accurate, current, and complete information. You agree to update your information promptly if it changes. We reserve the right to suspend or terminate your Account if any information provided is inaccurate, false, or incomplete.

Account Security

You are responsible for maintaining the confidentiality of your Account credentials, including your username and password. You agree to:

  • Keep your password secure and confidential
  • Not share your Account credentials with any third party
  • Notify us immediately of any unauthorized access or security breach
  • Take responsibility for all activities that occur under your Account

We are not liable for any loss or damage arising from your failure to comply with these security obligations.

Identity Verification

We may require you to provide additional information and documentation to verify your identity, business legitimacy, and compliance with applicable laws. This may include government-issued identification, business licenses, tax identification numbers, and financial statements. Failure to provide requested information may result in Account suspension or termination.

Payment Processing Services

Services Description

Electronic Transaction provides payment processing services that enable Merchants to accept payments from Customers through various payment methods, including:

  • Credit and debit card processing
  • Automated Clearing House (ACH) transfers
  • Electronic check processing
  • Recurring billing and subscription management
  • Payment gateway API integration

Merchant Responsibilities

As a Merchant using our Services, you agree to:

  • Comply with all applicable laws, regulations, and Card Network rules
  • Obtain proper authorization for all transactions
  • Provide accurate descriptions of goods and services
  • Deliver goods and services as promised to Customers
  • Maintain appropriate records of all transactions
  • Honor all valid refund requests and Chargebacks
  • Not use our Services for any illegal or prohibited activities

Prohibited Activities

You may not use our Services for:

  • Any illegal purpose or in violation of any laws
  • Selling counterfeit or infringing goods
  • Processing transactions on behalf of third parties (aggregation)
  • Money laundering or terrorist financing
  • Gambling activities prohibited by law
  • Adult content or services in violation of applicable laws
  • Drugs, drug paraphernalia, or controlled substances
  • Weapons, ammunition, or explosives
  • Any activity that poses an unacceptable risk to us or the payment system

Fees and Payment

Processing Fees

You agree to pay the Processing Fees as specified in your Merchant Agreement or as displayed on our pricing page. Fees may include:

  • Percentage fees per transaction
  • Fixed fees per transaction
  • Monthly account fees
  • Chargeback fees
  • Refund fees
  • ACH return fees

Fee Changes

We may modify our fees upon thirty (30) days' advance notice. Continued use of our Services after such notice constitutes acceptance of the modified fees.

Payment of Fees

Processing Fees are deducted automatically from your transaction proceeds. If transaction proceeds are insufficient to cover fees, you authorize us to debit your linked bank account for the outstanding amount.

Settlements and Funds Availability

Settlement Schedule

Transaction proceeds, less applicable fees, will be deposited into your designated bank account according to your settlement schedule. Standard settlement typically occurs within 2-3 business days, though this may vary based on your Account type, transaction volume, and risk assessment.

Reserves and Holds

We may establish a reserve or place holds on funds in your Account to cover potential Chargebacks, refunds, fees, or other liabilities. Reserves may be:

  • Rolling Reserve: A percentage of daily transactions held for a specified period
  • Minimum Reserve: A fixed amount maintained in your Account
  • Up-front Reserve: A one-time deposit required before processing

Delayed Settlements

We reserve the right to delay settlements if we suspect fraudulent activity, violation of these Terms, or other risk factors. We will notify you of any delays and work to resolve them promptly.

Chargebacks and Disputes

Chargeback Process

A Chargeback occurs when a Customer disputes a transaction with their card issuer. You agree to:

  • Promptly respond to all Chargeback notifications
  • Provide all requested documentation within specified timeframes
  • Accept liability for valid Chargebacks
  • Pay all applicable Chargeback fees

Chargeback Liability

You are fully liable for all Chargebacks, regardless of the outcome of any dispute. We may deduct Chargeback amounts and fees directly from your Account or collect them through other means.

Excessive Chargebacks

If your Chargeback ratio exceeds industry standards (typically 1% of transactions) or Card Network thresholds, we may:

  • Increase your reserve requirements
  • Delay your settlement schedule
  • Impose additional fees
  • Suspend or terminate your Account
  • Report you to Card Networks and regulatory authorities

Refunds and Returns

You are responsible for establishing and communicating your refund and return policies to Customers. All refunds must be processed through our Services. You agree to:

  • Honor your stated refund policies
  • Process refunds promptly upon Customer request
  • Not issue cash refunds for transactions processed through our Services
  • Pay any applicable refund fees

Refunds are typically processed within 5-10 business days, depending on the payment method and financial institution.

Intellectual Property

Our Intellectual Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Electronic Transaction and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purpose.

Restrictions

You may not:

  • Copy, modify, or create derivative works of our Services
  • Reverse engineer, decompile, or disassemble our software
  • Remove any copyright or proprietary notices
  • Use our trademarks without prior written consent
  • Frame or mirror our website without authorization

Confidentiality and Data Protection

Confidential Information

You agree to maintain the confidentiality of all non-public information obtained through our Services, including API keys, security credentials, and business information. You may not disclose such information to third parties without our prior written consent.

Data Security

You are responsible for implementing appropriate security measures to protect Customer data in your possession. You must comply with PCI DSS requirements if you handle cardholder data and notify us promptly of any security breaches.

Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • That our Services will be uninterrupted, timely, secure, or error-free
  • That any errors will be corrected
  • That our Services are free of viruses or other harmful components

We do not warrant that the results obtained from using our Services will be accurate or reliable. You use our Services at your own risk.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELECTRONIC TRANSACTION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to your Account
  • Damages resulting from errors, mistakes, or inaccuracies in our Services
  • Damages resulting from any interruption or cessation of transmission to or from our Services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $500.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify, defend, and hold harmless Electronic Transaction and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your processing of transactions
  • Any negligent or wrongful conduct by you

Termination

Termination by You

You may terminate your Account at any time by contacting us. Upon termination, you remain liable for all transactions processed prior to termination and any associated fees, Chargebacks, or refunds.

Termination by Us

We may suspend or terminate your Account immediately and without notice if:

  • You violate these Terms or applicable laws
  • We suspect fraudulent or unauthorized activity
  • Your Chargeback ratio exceeds acceptable thresholds
  • You pose an unacceptable risk to us or the payment system
  • Required by law or Card Network rules

Effect of Termination

Upon termination, all licenses granted to you will cease, and you must immediately cease all use of our Services. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising from or relating to these Terms or our Services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.

Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Electronic Transaction regarding our Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Changes to Terms

We reserve the right to modify these Terms at any time. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
